Terms of Service

 

Introduction

These Terms of Service constitute a legally binding contract between you (“User” or “Merchant”) and Perdury S.A. (“Bamboo”) and govern your use of Bamboo’s payment processing services, APIs, and other related offerings (collectively referred to as the “Bamboo Services”).

By accessing or using the Bamboo Services, you agree to comply with and be bound by the terms and conditions set forth in the agreement signed between the Merchant and Bamboo (the “Agreement”). If you do not agree with these terms, you are prohibited from using the Bamboo Services.

 

SECTION 1: GENERAL TERMS

1.1. Service Description

Bamboo provides an integrated payment processing platform that allows Merchants to accept payments for digital goods and services from end users through various channels.

Merchants will utilize the Bamboo Services solely to receive payments for digital goods and services as defined in their Bamboo Merchant account.

Merchants that engage the Services are required to provide accurate and complete information, including but not limited to:

  • Business name and address
  • Email and phone number
  • Business identification number
  • Website URL
  • Detailed description of the nature of the business

Bamboo may collect personal information about the Merchant’s representatives, beneficial owners, and account administrators as necessary. This information may include name, birth date, and government-issued identification number. Your Bamboo account will remain in a preliminary state until Bamboo has verified all required information, at which point Bamboo reserves the right to terminate the account at any time for any reason.

Merchants may only use Bamboo Services to facilitate transactions with their customers. Use of the Bamboo Services for personal or non-commercial transactions or any purpose prohibited by the Agreement is strictly forbidden.

 

1.2. Changes in Business Profile

Merchants are required to keep their Bamboo account information current and accurate. Any changes affecting the Merchant’s business activities, ownership structure, beneficial owners, or other pertinent details must be promptly updated in the Bamboo account.

Merchants must notify Bamboo in writing within three (3) days of any of the following events:

  • Filing of insolvency or bankruptcy petitions
  • Changes in financial condition
  • Liquidation or significant changes in business operations
  • Transfer or sale of 25% or more of total assets
  • Changes in control or ownership of the business

Failure to update account information or notify Bamboo of these events may result in account suspension or termination of the Agreement.

 

1.3. Merchant Obligations

Merchants agree to provide Bamboo with accurate information regarding office locations, DBA names, key personnel, ownership structure, and a comprehensive description of services offered. Merchants shall immediately inform Bamboo of any significant litigation, regulatory changes, or business model alterations that may impact Bamboo’s compliance obligations.

Merchants acknowledge that Bamboo may terminate or amend the Agreement in response to any disclosures or changes under this section. Merchants must indemnify Bamboo against losses arising from non-disclosure of relevant changes affecting regulatory compliance.

Bamboo retains the right to terminate the Agreement immediately if Merchants fail to comply with applicable standards, engage in activities that harm Bamboo or card networks, or fail to take corrective actions upon discovering suspicious or fraudulent activities.

 

1.4. Service Limitations and Prohibited Activities

Merchants are prohibited from using the Bamboo Services for activities identified as Prohibited Activities. These activities include transactions involving embargoed countries, organizations, entities, or individuals on government sanctions lists. Merchants should consult the list of Prohibited Businesses and Sanctioned Countries before using Bamboo Services.

Merchants may not use Bamboo Services for illegal transactions, personal or non-commercial purposes, or any other purposes prohibited by the Agreement.

 

SECTION 2: ADDITIONAL TERMS

2.1. Fees and Penalties

Bamboo provides a platform for Merchants to accept payments for digital goods and services. We support various payment methods, including credit cards and alternative payment methods. All transactions are subject to fees as outlined in merchant agreements. Merchants are responsible for determining applicable taxes and compliance with security standards. Refunds and chargebacks are managed according to our policies, with Merchants responsible for related fees. For detailed terms, please refer to your specific Merchant Agreement.

 

2.2. Use of Services

By using Bamboo’s Services, you agree to comply with all applicable laws and regulations. You are responsible for maintaining the confidentiality of your account information and for any activities that occur under your account. Unauthorized use of the Services is prohibited.

 

2.3. Limitation of Liability

Bamboo is not liable for any indirect, incidental, or consequential damages arising from your use of our Services. Our liability to you for any claim related to the use of the Services is limited to the amount paid, if any, for accessing the Services. We make no warranties, express or implied, regarding the Services’ availability, reliability, or suitability for your purposes.

 

2.4. Intellectual Property

All content, trademarks, and data on Bamboo’s website and platform, including but not limited to software, databases, text, graphics, icons, hyperlinks, and designs, are the property of Bamboo and are protected by intellectual property laws. Unauthorized use of these materials is prohibited.

 

2.5. Amendments

Bamboo reserves the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting. Continued use of the Services after modifications indicates your acceptance of the revised terms.

 

2.6. Governing Law

These terms and conditions are governed by the laws of Uruguay. Any disputes arising under these terms shall be resolved in the courts of Uruguay.
